When starting a new business, there are many ways to secure funding, from banks and financial institutions to government grants to private investment capital. As you work to secure a private investment, more may be required than just your business plan. One thing you’ll need to consider is a private placement memorandum (PPM).
Because private placements often involve equity or debt offerings, but is still private and not public (requiring an IPO), it is common to have a lawyer involved and be prepared to present a private placement memorandum. A private placement memorandum is submitted in addition to your business plan, and it offers a more in depth look at your business, operations and financial projections.

- Risks involved in the investment: What negatives are there about investing in your company? Do you have existing debt? Is it a really competitive market? Explain any concerns and challenges you face that could impact their investment.
